STELLA W. YAP is a shareholder at Allan Law Group PC.

STELLA W. YAP earned her undergraduate degree at UCLA with

honors and her law degree at Loyola Law School of Los Angeles,

where she was a staff member on the International Law Review.

   

Ms. Yap practices in the area of business law, music law, civil litigation and entertainment law and litigation. She acts as business and legal affairs counsel for various individuals and corporations in the film, tv, documentary and music industries,  advising songwriters, musicians, music producers, music publishers, writers, actors, directors and producers.

Ms. Yap assists business law clients in the areas of selecting and forming business operating structures including Partnerships, LLC's and Corporations, negotiating and drafting agreements, including operating agreements, investor representation agreements, shareholder agreements, non-disclosure agreements, non-circumvention agreements, and confidentiality agreements.

She assists clients in the music industry with drafting and negotiating of contracts and licenses, copyright registration, infringement and enforcement matters, Copyright termination and recapture and reversion of rights, recording agreements, producer agreements, distribution and publishing agreements, management agreements, performing rights society agreements with ASCAP, BMI, and SoundExchange, band partnership agreements, work for hire agreements, agent and publicist representation agreements, trademark and brand protection, licensing, synch licenses, sampling issues, advertising, touring, marketing, merchandise, sponsor and promotion agreements, and music publishing and sound recording catalog monetization and sales.

Ms. Yap's litigation matters involve breach of contract,  partnership disputes, intellectual property, accounting, fraud, copyright and trademark, infringement, music royalties, as well as legacy artist issues, including copyright reversion, trademark protection, and right of publicity.

Ms. Yap is also involved with non-profit work, assisting a foundation that provides scholarships to Chinese students entering American Graduate Universities and American Law School students attending summer programs in China.

She formerly sat on the Board of Trustees for UCLA's UniCamp program, one of the oldest student organized charities in the country.
